By accessing this website or entering into a service engagement with Nanuq Labs, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please refrain from using this website or engaging our services.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement on behalf of yourself or the organization you represent.
3. Service Description
Nanuq Labs provides professional consulting services in the areas of artificial intelligence readiness assessment, workforce AI training, and AI integration strategy and implementation. Services are delivered primarily to organizations based in Canada.
All services are subject to a written scope agreement executed prior to commencement of work. Website content describing our services is provided for general informational purposes and does not constitute a binding offer or guarantee of specific outcomes.
Services are available to organizations with 20 to 500 employees. We reserve the right to decline engagements at our discretion where we determine we are not able to provide suitable value.
4. User Responsibilities
When using this website, you agree not to:
- Transmit any information that is unlawful, harmful, misleading, or fraudulent
- Attempt to gain unauthorized access to our systems or the systems of others
- Use automated means (bots, scrapers) to collect content from this website without prior written consent
- Reproduce or redistribute our published content without attribution and written permission

In the context of a service engagement, the client organization is responsible for providing accurate information, facilitating access to required systems and personnel, and ensuring appropriate internal authorization for the agreed scope of work.
5. Intellectual Property
All website content — including text, design, graphics, and the Nanuq Labs name and logo — is the property of Nanuq Labs Inc. and is protected under applicable Canadian intellectual property law. Unauthorized reproduction, distribution, or commercial use is prohibited.
Deliverables produced during a client engagement (reports, roadmaps, training materials) are licensed to the client organization for internal use upon full payment of fees. Nanuq Labs retains the right to use anonymized methodologies, frameworks, and approaches from engagements for its own ongoing practice development.
6. Payment Terms
Fees for services are as published on this website or as set out in a written scope agreement. All fees are in Canadian dollars (CAD) and exclusive of applicable taxes (HST/GST).
Payment terms are specified in the scope agreement for each engagement. Nanuq Labs reserves the right to pause or suspend work on an engagement if invoices become overdue by more than 30 days.
Refunds: Fees paid for services not yet commenced are refundable in full upon written request. Fees for work already delivered are non-refundable. Partial refunds for partially completed engagements may be considered at Nanuq Labs' sole discretion where exceptional circumstances apply.
7. Service-Specific Terms
AI Readiness Assessment: The assessment is delivered over a 3-week period following commencement. The final report reflects conditions at the time of assessment. Nanuq Labs does not warrant that findings will remain current beyond 12 months from delivery.
Employee AI Fluency Workshop Series: Sessions are scheduled in coordination with the client. Cancellation of individual sessions with less than 48 hours' notice may result in that session being forfeited without replacement. Groups must remain between 10 and 20 participants for the program to be delivered as designed.
Custom AI Integration Strategy and Implementation: The 12-week timeline is a target and may be affected by client delays in providing access, feedback, or approvals. Post-deployment support is included for 30 days from the date of initial deployment and is limited to questions and issues directly related to the delivered scope.

Our website and its content are provided on an "as is" basis. Nanuq Labs makes no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, or suitability of the information provided.
Our services constitute professional consulting advice and do not constitute legal, financial, or regulatory advice. Clients are responsible for obtaining appropriate professional advice in those areas before making decisions based on our recommendations.
We do not warrant that AI tools we recommend will produce any specific outcome for your organization. Results will vary based on factors outside our control, including the quality of your data, your organizational capacity, and tool changes made by third-party vendors after our engagement concludes.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Nanuq Labs shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages.
Our total liability to any client for any claim arising from or related to an engagement shall not exceed the fees paid by that client for the specific engagement giving rise to the claim.
10. Termination
Either party may terminate a service engagement by providing 14 days' written notice. In the event of termination, the client will be invoiced for work completed to the date of termination. Nanuq Labs may terminate an engagement immediately if the client breaches a material term of the scope agreement or these Terms & Conditions.
11. Governing Law and Dispute Resolution
These Terms & Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
Before pursuing formal legal proceedings, both parties agree to make reasonable good-faith efforts to resolve any dispute through direct communication. Unresolved disputes may be referred to mediation administered through the ADR Institute of Ontario prior to litigation.
12. General Provisions
Entire Agreement: These Terms & Conditions, together with any written scope agreement, constitute the entire agreement between the parties with respect to the subject matter herein.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Failure by Nanuq Labs to enforce any right under these Terms shall not constitute a waiver of that right.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in the event of a business transfer or restructuring.
13. Changes to These Terms
We may update these Terms & Conditions from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
